1. Agreement to Terms

By accessing or using productshootz's AI-powered image generation platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and productshootz AI ("productshootz," "we," "us," or "our"). If you do not agree to these Terms, you must not access or use the Service.

These Terms apply to all users, including visitors, registered users, and paying subscribers. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Service constitutes acceptance of modified Terms.

2. Description of Service

productshootz provides an AI-powered platform for generating, editing, and manipulating digital images. Our Service utilizes proprietary machine learning models as well as third-party AI APIs to deliver image generation capabilities. The Service includes, but is not limited to:

Product photography enhancement and background replacement
Image upscaling and resolution enhancement
Template-based design generation

3. Image Ownership and Intellectual Property Rights

3.1 Your Input Content

You retain all ownership rights to any images, photographs, or other content that you upload to the Service ("Input Content"). By uploading Input Content, you grant productshootz a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit such content solely for the purpose of providing the Service to you.

3.2 Generated Output

Subject to your compliance with these Terms and payment of applicable fees, productshootz assigns to you all rights, title, and interest in and to the images generated by the Service using your prompts and Input Content ("Output"). You may use Output for any lawful purpose, including commercial use, subject to the restrictions set forth herein.

3.3 License to Use for AI Training

Important Notice: By using the Service, you acknowledge and agree that your Input Content (uploads) and associated metadata may be used to train, improve, and enhance our proprietary AI models, unless you have explicitly opted out through your account settings. Generated Outputs are never used for AI training purposes.

3.4 Third-Party Content

You represent and warrant that you have all necessary rights to upload and use any Input Content with the Service. You shall not upload any content that infringes upon the intellectual property rights of any third party.

4. Prohibited Content and Uses

You agree not to use the Service to generate, upload, or distribute any content that:

Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Depicts or promotes child sexual abuse material (CSAM) or exploitation of minors
Contains non-consensual intimate imagery or deepfakes of real individuals without consent
Promotes violence, terrorism, or hate speech against protected groups
Infringes upon any patent, trademark, trade secret, copyright, or other proprietary rights
Contains malware, viruses, or any other harmful code or technology
Impersonates any person or entity or falsely represents your affiliation
Violates the privacy or publicity rights of any third party
Is designed to deceive, defraud, or manipulate individuals or institutions
Generates content for use in political disinformation campaigns

We employ automated content moderation systems and human review processes to detect and prevent prohibited content. Violations may result in immediate account suspension or termination without notice.

5. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any account at any time if, in our sole discretion, we believe you have violated these Terms.

6. Account Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete your account data within 30 days of termination. Any provisions of these Terms that should survive termination shall survive.

7. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

We reserve the right to change our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following notice of the price change.

You are responsible for all applicable taxes associated with your use of the Service, except for taxes based on our net income.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL productshootz, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations and exclusions may not apply to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any defects will be corrected. AI-generated content may contain errors, inaccuracies, or produce unexpected results. You use the Service and rely on any Output at your own risk.

10. Indemnification

You agree to defend, indemnify, and hold harmless productshootz and its licensors, service providers, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from or related to: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or publicity right; (d) any claim that your Input Content or Output caused damage to a third party; or (e) any content you generate, upload, or distribute through the Service.

11. Third-Party Services

The Service may integrate with or utilize third-party APIs, platforms, and services (including AI model providers). Your use of such third-party services may be subject to additional terms and conditions. We are not responsible for the content, privacy policies, or practices of any third-party services.

We do not guarantee the availability, accuracy, or reliability of any third-party services integrated with our platform. Service interruptions caused by third-party providers do not constitute a breach of these Terms. Furthermore, you acknowledge that third-party AI providers maintain their own data retention and training policies which may evolve independently of productshootz's policies.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

You agree that any arbitration shall be conducted on an individual basis and not in a class, consolidated, or representative action. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. International Users

The Service is operated from the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with applicable local laws. We make no representation that the Service is appropriate or available for use in any particular location. We reserve the right to restrict access to the Service from certain countries or regions.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
